Kairil Terms of Service

These Terms of Service ("Terms") govern access to and use of Kairil (the "Service"), provided by Kairegi Ltd ("we," "us," "our"), a company operating in Kenya. By creating an account or using Kairil, you agree to these Terms. If you don't agree, don't use the Service.

1. What Kairil is

Kairil is a production and client management tool for animation studios and freelance creative professionals: project and shot tracking, a lightweight CRM, invoicing, expense tracking, and optional integrations including Google Drive and shareable client/freelancer links.

2. Accounts

• You must provide accurate information when creating an account and keep your login credentials secure.
• You're responsible for all activity under your account, including anyone you invite via shared links.
• We may suspend or terminate accounts that violate these Terms, abuse the Service, or are used for unlawful purposes.

3. Free and Paid Plans

• Kairil offers a Free plan and a Pro plan. Feature availability for each is described on our pricing page and may change with notice.
• Pro plan billing is currently handled through Patreon. By subscribing to the relevant Patreon tier, you authorize recurring charges according to Patreon's own terms and billing cycle. We don't process or store your payment card details ourselves, Patreon does.
• Trial periods, if offered, convert to paid billing automatically unless cancelled before the trial ends, per Patreon's billing terms.
• Downgrading from Pro to Free does not delete your data. Pro-only features become inaccessible, but underlying data (invoices, client links, Drive folder references, etc.) is preserved and becomes accessible again if you upgrade.

4. Your Content

• You retain ownership of all data you input into Kairil: project details, client information, invoices, files, and anything else you create or upload ("Your Content").
• You're solely responsible for having the rights to any content you upload, and for complying with your own obligations to your clients and collaborators regarding their data.
• We do not claim ownership of Your Content and will not use it for purposes other than operating and improving the Service, except as required by law.

5. Client Portals and Freelancer Links

• Kairil lets you generate shareable links that give clients or freelancers limited, unauthenticated access to specific project or shot information.
• You are responsible for who you share these links with. Anyone with a valid link can view the information it exposes; treat these links as you would a password.
• We are not responsible for information disclosed as a result of a link being shared or forwarded beyond your intended recipient.

6. Third-Party Integrations

• Kairil integrates with third-party services, currently Google Drive, and payment/membership handling via Patreon. Use of these integrations is also subject to that provider's own terms.
• We are not responsible for outages, data loss, or policy changes on the part of third-party providers.

7. Acceptable Use

You agree not to: - Use Kairil for unlawful purposes or to store/share unlawful content. - Attempt to access another user's account or data without authorization. - Reverse-engineer, scrape, or attempt to disrupt the Service. - Use the Service to send spam or unsolicited communications via generated links.

8. Availability and Changes

• We aim to keep Kairil available and reliable but do not guarantee uninterrupted access. The Service is provided "as is."
• We may modify, add, or remove features at any time. We'll try to give reasonable notice of changes that materially reduce functionality you're paying for.

9. Limitation of Liability

To the maximum extent permitted by law, Kairegi Ltd is not liable for indirect, incidental, or consequential damages arising from use of the Service, including lost revenue, lost data, or business interruption. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months preceding the claim.

10. Termination

• You may stop using Kairil and delete your account at any time.
• We may suspend or terminate accounts for violations of these Terms, with notice where practical.
• Upon termination, we will retain your data for a reasonable period to allow export, then delete it in line with our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of Kenya.
